How does Pillar Two treat an entity bought or sold mid-year?
It is in the group for the year if any of its results are consolidated line by line, and only those consolidated results and taxes are counted.
Per GloBE Model Rules (Pillar Two), December 2021, Article 6.2, Constituent Entities joining and leaving an MNE Group
Where an Entity becomes or ceases to be a Constituent Entity of an MNE Group as a result of a transfer of direct or indirect Ownership Interests in it during the Fiscal Year, it is treated as a member of the Group if any portion of its assets, liabilities, income, expenses or cash flows are included on a line-by-line basis in the Consolidated Financial Statements of the Ultimate Parent Entity in the acquisition year. The Group takes into account only the Financial Accounting Net Income or Loss and Adjusted Covered Taxes of the target that are in those statements; the target uses its historical carrying value of assets and liabilities; the carrying value of its Eligible Tangible Assets is adjusted proportionally to the length of the Fiscal Year it was a member; and its deferred tax assets and liabilities are taken into account by the acquiring Group as if it had controlled the target when they arose. The acquisition or disposal of a Controlling Interest is treated as one of the assets and liabilities if the target's jurisdiction treats it in the same or a similar manner and imposes a Covered Tax on the seller on that basis.
A purchase price paid for shares does not step up the assets for GloBE purposes, and a target can belong to two groups in the year it changes hands.
A share deal keeps historical values — unless tax treats it as an asset deal
First: is it taxed as an asset deal
If the target's jurisdiction treats the sale of the Controlling Interest like a sale of the assets and liabilities, and taxes the seller on the difference between tax basis and price or fair value, Article 6.3 applies instead.
Membership in the acquisition year
Any line-by-line consolidation in the year makes the target a member of that Group for the year. It can be a member of the selling Group and the buying Group in the same year, each counting only what is in its own consolidated statements.
Historical carrying values
The target computes GloBE Income or Loss and Adjusted Covered Taxes on its historical carrying values, in the acquisition year and every later year. Purchase accounting adjustments stay out.
The carve-out: pro rata, and at the stepped-up value
Eligible Payroll Costs are those in the Group's consolidated statements. Eligible Tangible Assets are taken in proportion to the part of the year in the Group.
Two carrying values for one asset
For GloBE Income or Loss the target keeps its historical carrying values: the purchase price creates no step-up, and goodwill, customer lists and other intangibles recognised on the acquisition are ignored, with the deferred tax on them. For the Substance-based Income Exclusion the opposite holds: Eligible Tangible Assets are taken at the value in the buyer's Consolidated Financial Statements, purchase accounting adjustments included, because that is what the group actually paid. Eligible Payroll Costs are those in each group's own consolidated statements for its period of ownership.
Deferred tax follows the target
Its deferred tax assets and liabilities carry over as if the buyer had always controlled it — except a GloBE Loss Deferred Tax Asset, which does not. For the recapture rule its deferred tax liabilities are treated as reversed by the seller and as arising in the acquisition year for the buyer.
The five-year recapture clock restarts
For the seller, the target's deferred tax liabilities are treated as reversed when it leaves, so nothing is recaptured afterwards. For the buyer, the five years run afresh from the acquisition. If an acquired liability has still not reversed at the end of the fifth year, the buyer's Covered Taxes are reduced in that year — the earlier year is not recalculated, since the buyer never computed it — and Article 4.1.5 can follow if that makes them negative. The exception for fair value accounting does not cover every liability created by purchase accounting: only those on assets that go on being carried at fair value.
A parent in two groups
A target that is a Parent Entity applies the Income Inclusion Rule separately to its Allocable Share for each Group.
Points the Commentary settles
- Whether an entity the target owns is low-taxed is decided separately for each group, on that group's own blending in the jurisdiction: it can be low-taxed for the seller and not for the buyer
- The historical-value rule applies to acquisitions made before the GloBE Rules applied as well as after; the rest of Article 6.2 applies from the Transition Year
- Push-down accounting may be used only for an acquisition before 1 December 2021 where the group lacks the records to work from unadjusted values, and then the purchase accounting deferred tax counts too
- A share deal is treated as an asset deal only if the target's jurisdiction treats it as one — which includes the target joining a tax consolidated group — and taxes the seller by reference to the target's inside basis. The seller's own gain on the shares remains an Excluded Equity Gain; the target's gain is counted in its jurisdiction
- Control can be acquired by a small purchase that tops up an existing holding; later purchases are not acquisitions of control

A subsidiary bought on 1 October
EUR 36.5 million of Eligible Tangible Assets, with 92 days of a 365-day year in the Group.
Computed
The target is treated as a member of the Group for the acquisition year as computed (Article 6.2.1(a)), and the carrying value of its Eligible Tangible Assets is EUR 9,200,000: EUR 36,500,000 for 92 of the 365 days of the Fiscal Year, 25.21% (Article 6.2.1(e)). The Group takes into account only the target's income, taxes and payroll costs that are in its own Consolidated Financial Statements; the target keeps its historical carrying values, so purchase accounting adjustments do not enter GloBE Income or Loss; its deferred tax assets and liabilities, other than a GloBE Loss Deferred Tax Asset, carry over; and for the recapture rule its deferred tax liabilities are treated as reversed by the seller and as arising in the acquisition year for the buyer. Based on the figures you supplied.

The Commentary's A Co
A company whose assets are carried at USD 100 is bought for USD 300. For GloBE Income its assets stay at 100, so a later sale for 300 gives a GloBE gain of 200, and the deferred tax liability the buyer booked on the acquisition is ignored. In the year of purchase, bought half-way through, half of its tangible assets count for the carve-out — at the buyer's consolidated value.
Computed
The target is treated as a member of the Group for the acquisition year as computed (Article 6.2.1(a)), and the carrying value of its Eligible Tangible Assets is USD 150.41: USD 300 for 183 of the 365 days of the Fiscal Year, 50.14% (Article 6.2.1(e)). A share purchase taxed as an asset purchase
The target's jurisdiction taxes the seller as if the assets had been sold.
Computed
The acquisition or disposal of the Controlling Interest is treated as an acquisition or disposal of the assets and liabilities as computed (Article 6.2.2): the target's jurisdiction treats it in that way and imposes a Covered Tax on the seller on the difference between the tax basis and the consideration or fair value. Article 6.3 then applies: the gain or loss enters GloBE Income or Loss, and the carrying values are those the acquirer records, in place of the historical carrying values of Article 6.2.1(c). Based on what you supplied.
Decided by the a share deal taxed as an asset deal
Bought on the last day, consolidated from next year
Nothing of the target is consolidated line by line in the acquisition year.
Computed
The target is not treated as a member of this Group for the acquisition year as computed: no portion of its assets, liabilities, income, expenses or cash flows is included line by line in the Group's Consolidated Financial Statements for that year (Article 6.2.1(a)). Based on what you supplied.

1 input still need your determination:
- Does the Entity become or cease to be a Constituent Entity of the MNE Group as a result of a transfer of direct or indirect Ownership Interests in it during the Fiscal Year?
