How are asset transfers treated under Pillar Two?
The seller counts the gain or loss and the buyer uses its own carrying value, unless it is a GloBE Reorganisation, when the seller's values carry over.
Per GloBE Model Rules (Pillar Two), December 2021, Article 6.3, Transfer of Assets and Liabilities
In the case of a disposition or acquisition of assets and liabilities, a disposing Constituent Entity includes the gain or loss on disposition in its GloBE Income or Loss and an acquiring Constituent Entity determines its GloBE Income or Loss using its own carrying value of the acquired assets and liabilities under the accounting standard used in the Consolidated Financial Statements of the Ultimate Parent Entity. If the disposition or acquisition is part of a GloBE Reorganisation, the disposing Constituent Entity excludes the gain or loss and the acquiring Constituent Entity uses the disposing Entity's carrying values. If the disposing Constituent Entity recognises Non-qualifying Gain or Loss, it includes gain or loss to that extent and the acquiring Constituent Entity uses the disposing Entity's carrying value adjusted consistent with local tax rules to account for it.
Where tax law lets a merger or demerger go through without tax and carries the tax basis over, the GloBE Rules do the same, so the deferred gain is not charged to top-up tax in the year of the reorganisation.
Three outcomes, by how the transfer is taxed
An ordinary transfer
The disposing entity includes the whole gain or loss. The acquirer uses its own carrying value.
Within the group, at arm's length
A transfer between two Constituent Entities under the ordinary rule is priced under Article 3.2.3 even where the group books it at the seller's carrying value, and the acquirer's GloBE carrying value is the arm's length amount. Where the transfer is a business combination for accounting purposes — a business bought as assets, without the company — the purchase accounting adjustments and the deferred tax on them are taken into account, unlike on a share purchase. Goodwill and a bargain purchase gain count only as they appear in the acquirer's own accounts.
A GloBE Reorganisation — all three
- (a) Consideration wholly or in significant part equity of the acquirer or a connected person — or, in a liquidation, equity of the target
- (b) The disposing entity's gain or loss is not subject to tax, in whole or in part
- (c) The acquirer's tax law requires it to use the disposing entity's tax basis, adjusted for any Non-qualifying Gain or Loss
Fully deferred
The disposing entity excludes the gain or loss and the acquirer takes over the disposing entity's carrying values.
Partly taxed
Non-qualifying Gain or Loss is the lesser of the gain or loss subject to tax where the disposing entity is located and the accounting gain or loss — typically where cash or other non-equity consideration exceeds what the local reorganisation rules allow. That much is included, and the acquirer's carried-over values are increased by it, spread across the assets in the way its own tax law spreads the basis increase, and by no more than the Non-qualifying Gain or Loss.
A fair value election
Where a jurisdiction requires or permits the tax basis of an entity's assets and liabilities to be adjusted to fair value — an exit tax on a migration, joining or leaving a tax consolidated group, an elective step-up — the Filing Constituent Entity may elect under Article 6.3.4 to recognise the gain or loss for GloBE purposes and use fair value afterwards. The gain is the fair value after the event less the carrying value before it, less anything already taken as Non-qualifying Gain or Loss. It is taken in the year or spread evenly over five years, with the balance accelerated if the entity leaves the group. Existing deferred tax balances are reversed in full and the deferred tax created by the reset is ignored. The election does not reach ordinary sales or transfer pricing adjustments. It is not computed here.
Scope
Article 6.3 applies whether or not the other party is in the same group or in scope of the Rules at all, to domestic and cross-border transfers alike, and only to transfers in the Transition Year or later. An earlier transfer between group entities is dealt with under Article 9.1.3. After a GloBE Reorganisation the acquirer computes deferred tax on the carried-over values too, and must keep records that support them.

Examples
Illustrative scenarios — ours, not the authority’s — each computed live by this rule. Change any fact and the outcome is the rule’s, not a hand-written answer.
A sale of a business for cash
Assets carried at EUR 40 million sold for EUR 100 million.
Computed
The disposing Constituent Entity includes the gain or loss of EUR 60,000,000 in its GloBE Income or Loss, and the acquiring Constituent Entity uses its own carrying value of EUR 100,000,000, as computed (Article 6.3.1): the transfer is not part of a GloBE Reorganisation. Where both are Constituent Entities of the same Group, the gain or loss is first brought to the arm's length amount under Article 3.2.3. Based on the figures you supplied.

A tax-free merger for shares
The same assets transferred in a merger for equity, with tax basis carried over and no tax on the gain.
Computed
The disposing Constituent Entity excludes the gain or loss of EUR 60,000,000 from its GloBE Income or Loss, and the acquiring Constituent Entity uses the disposing entity's carrying value of EUR 40,000,000 in place of the EUR 100,000,000 it recorded, as computed (Article 6.3.2): the transfer is part of a GloBE Reorganisation and there is no Non-qualifying Gain or Loss. The deferral given by the tax law is matched under the GloBE Rules. Based on the figures you supplied.

A merger with some cash consideration
The same merger where EUR 15 million of the gain is taxed.
Computed
The disposing Constituent Entity includes EUR 15,000,000 of the gain or loss of EUR 60,000,000 in its GloBE Income or Loss as computed (Article 6.3.3): the transfer is part of a GloBE Reorganisation, and that amount is the Non-qualifying Gain or Loss — the lesser of the EUR 15,000,000 subject to tax and the accounting figure. The acquiring Constituent Entity uses the disposing entity's carrying value adjusted for it, EUR 55,000,000, in place of the EUR 100,000,000 it recorded. Based on the figures you supplied.

Supply the facts and this rule computes the outcome in your browser, live. Leave a determination undecided and it blocks the result — it is never read as a no.
Not computed yet
4 inputs still need your determination:
- Is the transfer part of a GloBE Reorganisation: consideration wholly or significantly in equity of the acquirer or a connected person; the disposing entity's gain or loss not subject to tax in whole or in part; and the acquirer required by its tax law to carry over the disposing entity's tax basis?
- What is the disposing Constituent Entity's financial accounting gain or loss on the disposition? Enter a loss as a negative.
- What was the disposing Constituent Entity's carrying value of the assets and liabilities on disposition?
- At what carrying value does the acquiring Constituent Entity record them, under the accounting standard used in the Consolidated Financial Statements of the Ultimate Parent Entity?
Computed in your browser from the figures you supply. Nothing is sent anywhere, and the result is a computation against a rule — reference, not tax advice.
