What is an Eligible Distribution Tax System under Pillar Two?
A tax on profits when distributed, at 15% or more, in force by 1 July 2021. An election counts the deemed distribution tax toward the minimum.
Per GloBE Model Rules (Pillar Two), December 2021, Article 7.3, Eligible Distribution Tax Systems
An Eligible Distribution Tax System is a corporate income tax system that imposes tax on the corporation generally payable only when it distributes profits, is deemed to distribute them or incurs certain non-business expenses, at a rate equal to or in excess of the Minimum Rate, and in force on or before 1 July 2021. A Filing Constituent Entity may make an annual election, applying to all Constituent Entities in the jurisdiction, to add the Deemed Distribution Tax to Adjusted Covered Taxes for the Fiscal Year. The Deemed Distribution Tax is the lesser of the Adjusted Covered Taxes necessary to increase the Effective Tax Rate to the Minimum Rate and the tax that would have been due had all income subject to the system been distributed.
Tax a distribution system has not yet collected counts towards the minimum for the year, but is clawed back through a recapture account if distributions do not follow.
What the result turns on
Three conditions, all required
- The tax is generally payable only on distribution, deemed distribution or certain non-business expenses
- Its rate equals or exceeds the Minimum Rate
- It was in force on or before 1 July 2021
An annual election
Without it nothing is added. It applies to all Constituent Entities located in the jurisdiction.
The lesser of two amounts
- The Adjusted Covered Taxes needed to lift the jurisdiction's Effective Tax Rate to the Minimum Rate: Net GloBE Income times the Minimum Rate, less the taxes already counted, not below nil
- The tax that would have been due had all the income subject to the system been distributed
Why the election exists
Under a distribution tax, little or no tax is charged in the year income is earned, and a deferred tax liability for tax payable on distribution is not counted. Without the election the jurisdiction would look untaxed in years with no distribution and over-taxed in years with a large one. The second limb caps the deemed tax at what the system could have charged had every unit of the year's taxable earnings been distributed, and is worked out without regard to accumulated deficits brought forward.
The recapture account
The amount goes into a Deemed Distribution Tax Recapture Account, run down by tax paid on distributions, then by Net GloBE Loss times the Minimum Rate, then by a loss carry-forward. A balance outstanding on the last day of the fourth following Fiscal Year is treated as a reduction of the Adjusted Covered Taxes for the year it arose, and the Top-up Tax recalculated.
How the recapture account runs
- One account for each year the election is made, kept for the jurisdiction as a whole, in amounts of tax and not of income — so a later cut in the distribution tax rate means more must be distributed to clear it
- Reduced, oldest year first and never below nil: first by distribution tax actually paid; then by a Net GloBE Loss of the jurisdiction multiplied by the Minimum Rate, which works as a carry-back of the loss; then by any Recapture Account Loss Carry-forward
- A loss larger than all the accounts creates a Recapture Account Loss Carry-forward, usable without time limit, with the burden of proof on the Filing Constituent Entity
- An account not cleared by the end of the fourth year after it was set up reduces the Adjusted Covered Taxes of the election year, which is recalculated with that year's own substance exclusion and percentages
- Distribution tax paid while any account is open reduces the accounts and is not also counted as a Covered Tax; only tax paid after all are nil is. Tax on non-business expenses is always a Covered Tax
When an entity leaves
Where a Constituent Entity leaves the group, or substantially all of its assets are moved out of the group or the jurisdiction, every open account is recalculated at once and the resulting Top-up Tax is charged in proportion to the Disposition Recapture Ratio: the departing entity's GloBE Income over the jurisdiction's Net GloBE Income, for the years with open accounts. A year in which the departing entity made a loss is left out. The accounts and that year's income, taxes and exclusion are then scaled down by the same ratio.

Examples
Illustrative scenarios — ours, not the authority’s — each computed live by this rule. Change any fact and the outcome is the rule’s, not a hand-written answer.
An eligible system, elected
Net GloBE Income of EUR 1,000 with EUR 50 of Adjusted Covered Taxes counted; EUR 100 is needed to reach 15%, and a full distribution would have attracted EUR 500.
Computed
A Deemed Distribution Tax of EUR 100 is added to Adjusted Covered Taxes for the Fiscal Year as computed: the system is an Eligible Distribution Tax System, the election has been made, and the amount is the lesser of EUR 100 needed to reach the Minimum Rate and EUR 500 that would have been due on a full distribution — the Adjusted Covered Taxes needed to reach the Minimum Rate is lower. It goes into a Deemed Distribution Tax Recapture Account, which is run down by tax paid on distributions and recalculated if a balance remains on the last day of the fourth following Fiscal Year; that recapture is not computed here. Based on the figures you supplied.

A full distribution would cost less
The same, but a full distribution would have attracted only EUR 40: the lesser amount is added.
Computed
A Deemed Distribution Tax of EUR 40 is added to Adjusted Covered Taxes for the Fiscal Year as computed: the system is an Eligible Distribution Tax System, the election has been made, and the amount is the lesser of EUR 100 needed to reach the Minimum Rate and EUR 40 that would have been due on a full distribution — the tax that would have been due on a full distribution is lower. It goes into a Deemed Distribution Tax Recapture Account, which is run down by tax paid on distributions and recalculated if a balance remains on the last day of the fourth following Fiscal Year; that recapture is not computed here. Decided by the deemed distribution tax
Introduced after the cut-off
A distribution tax that came into force on 1 January 2022.
Computed
The system is not an Eligible Distribution Tax System as computed: it came into force on 2022-01-01, after 2021-07-01 (paragraph (c)). All three conditions are required, so Article 7.3 gives no Deemed Distribution Tax. Based on what you supplied.

Supply the facts and this rule computes the outcome in your browser, live. Leave a determination undecided and it blocks the result — it is never read as a no.
Not computed yet
3 inputs still need your determination:
- Is the corporate tax generally payable only when the corporation distributes profits, is deemed to distribute them, or incurs certain non-business expenses?
- What is the rate of the tax, as a percentage?
- On what date did the system come into force, as a calendar date?
Computed in your browser from the figures you supply. Nothing is sent anywhere, and the result is a computation against a rule — reference, not tax advice.
