P2-ALLOC-2024.1

How is top-up tax allocated to each entity?

Each entity with GloBE Income takes a share of the jurisdiction's top-up tax in proportion to its GloBE Income. An entity with a loss takes none.

Per GloBE Model Rules (Pillar Two), December 2021, Articles 5.2.4 and 5.2.5, allocation of Top-up Tax to Constituent Entities

The Top-up Tax of a Constituent Entity is the Jurisdictional Top-up Tax multiplied by the GloBE Income of that Constituent Entity over the aggregate GloBE Income of all Constituent Entities of the jurisdiction that have GloBE Income for the Fiscal Year. Only a Constituent Entity that has GloBE Income takes a share. Where the Jurisdictional Top-up Tax is attributable to a recalculation under Article 5.4.1 and the jurisdiction has no Net GloBE Income for the current year, the same formula applies on the GloBE Income of the Constituent Entities in the years recalculated.

It turns the jurisdiction's figure into one for each entity, which is what Chapter 2 then charges to a Parent Entity or to UTPR jurisdictions.

A ratio over the entities that have income

5.2.4 — the formula

  • Top-up Tax of a CE = Jurisdictional Top-up Tax × GloBE Income of the CE ÷ aggregate GloBE Income of all CEs that have GloBE Income

Only an entity with income takes a share

The article applies to each Constituent Entity "that has GloBE Income", and the denominator is the aggregate of those that do. A loss-making entity's share is nil, not negative, and its loss is not in the denominator. Dividing by the Net GloBE Income of the jurisdiction, losses netted, would allocate more than the Jurisdictional Top-up Tax.

The shares add up to the whole

Because the denominator is the sum of the positive incomes, the allocations across all entities with income equal the Jurisdictional Top-up Tax. A test checks that.

5.2.5 — no Net GloBE Income this year

Where the Top-up Tax comes from a recalculation and there is no Net GloBE Income this year, the entity's income in the years recalculated is used. The caller supplies the right year's figures; the question says so.

When the allocation matters

Where the UPE applies the Income Inclusion Rule and owns every low-taxed entity in the jurisdiction outright, the whole Top-up Tax falls on it and the split between entities changes nothing. The allocation matters where parents hold different shares of different entities — a Partially-Owned Parent Entity, an intermediate parent with a minority stake — and where part of an entity's Top-up Tax is charged under the Income Inclusion Rule and the rest under the Undertaxed Profits Rule. Where a Qualified Domestic Minimum Top-up Tax has taken the jurisdiction's figure to nil, no allocation is needed. An Article 4.1.5 amount is not allocated this way: it goes to the entity that generated it.

Order of testing

  1. 1

    Inputs requiring your determination

The Jurisdictional Top-up Tax, the entity's GloBE Income and the aggregate must all be supplied. An aggregate of nil or less, or smaller than the entity's own income, is refused.

  2. 2

Constituent Entities that have GloBE Income

An entity with a loss or nil income takes nothing. Otherwise its share is its income over the aggregate.

Examples

A quarter of the income

A Jurisdictional Top-up Tax of EUR 30 million, and an entity with EUR 75 million of GloBE Income out of EUR 300 million.

Computed

Top-up Tax of EUR 7,500,000 is allocated to this Constituent Entity as computed for FY2026: the Jurisdictional Top-up Tax of EUR 30,000,000 multiplied by its GloBE Income of EUR 75,000,000 over the aggregate of EUR 300,000,000 for all Constituent Entities that have GloBE Income — a share of 25%. Article 5.2.4 allocates the whole Jurisdictional Top-up Tax across those entities. Based on the figures you supplied.

A loss-making entity

An entity with a loss of EUR 50 million: it takes nothing, and its loss is not in the denominator.

Computed

No Top-up Tax is allocated to this Constituent Entity as computed: Article 5.2.4 determines the Top-up Tax for each Constituent Entity that has GloBE Income, and its GloBE Income is (EUR 50,000,000). Its share is nil, not negative, and its loss is not in the denominator. Based on the figures you supplied.

Supply the facts and this rule computes the outcome in your browser, live. Leave a determination undecided and it blocks the result — it is never read as a no.

Not computed yet

3 inputs still need your determination:

  • What is the Jurisdictional Top-up Tax for the Fiscal Year, determined under Article 5.2.3?
  • What is the GloBE Income of this Constituent Entity for the Fiscal Year, determined under Article 3.2? Enter a loss as a negative figure. Where the Top-up Tax is attributable to a recalculation and there is no Net GloBE Income this year (Article 5.2.5), use the entity's GloBE Income in the years recalculated.
  • What is the aggregate GloBE Income of all Constituent Entities located in the jurisdiction that HAVE GloBE Income for the Fiscal Year (Article 5.2.4(c))? Entities with a loss are left out — they are not netted against the others.
